SEC Slaps Charges on Altcoin Company Quantstamp Over 2017 ICO

Quantstamp, a blockchain security company, has been accused by the US Securities and Exchange Commission (SEC) of conducting an unregistered initial coin offering (ICO) in 2017. As a result, the firm has agreed to settle the charges and refund the investors.

Key Points:

  • The SEC has accused Quantstamp of carrying out an unregistered ICO in 2017.
  • Quantstamp raised over $28 million from nearly 5,000 investors in its ICO.
  • The company will pay over $3.47 million in fines and indemnities and will refund investors.

SEC’s Charges Against Quantstamp

The SEC has alleged that Quantstamp, a California-based firm providing automated smart contract auditing services, sold unregistered securities, known as QSP tokens, in its ICO between October and November 2017. According to a statement released by the SEC, the company raised more than $28 million from almost 5,000 investors during the ICO.

The SEC’s complaint stated that Quantstamp failed to register its ICO as mandated by federal securities laws. It further asserted that QSP tokens should be classified as securities under the Howey test, a test created by the Supreme Court to determine whether certain transactions qualify as investment contracts.

Quantstamp’s Settlement and Consequences

Quantstamp has consented to settle the charges without admitting or denying the SEC’s findings. The settlement includes a penalty of over $3.47 million, which is divided into a $1,979,201 indemnity, a $494,314 pre-assessment interest, and a $1 million civil penalty. Moreover, the company will return the remaining QSP tokens to any investors who make claims and will register QSP as a security under the Securities Exchange Act of 1934.

This action by the SEC is a stark reminder of the ongoing regulatory scrutiny of ICOs and the broader crypto sector, highlighting the risks involved for investors and companies operating in this space.
